These Terms and Conditions ("Terms") govern your access to and use of all platforms, applications, desktop packages, and digital services managed by Printinfra Labs. This includes:
- The website located at printinfra.com, the PrintInfra watcher folder agent, and print-shop automation tools (collectively, "PrintInfra").
- The website located at hivance.app, the progressive web application at hub.hivance.app, and salon management/messaging services (collectively, "Hivance").
- The School ERP administration system, parent-teacher notification dashboard, and related automated alert scripts (collectively, "School ERP").
Printinfra Labs is a proprietary business entity owned and operated by Shantanu Awate, an individual operating under the laws of India, with a principal place of business at 001, Sawmi Samarath Mandirajaval, Saraf Ali, Otur, Junnar, Pune - 412409, Maharashtra, India ("Operator", "we", "us", or "our").
By registering an account, installing our desktop watcher client, or accessing our websites, you agree to be legally bound by these Terms. If you do not agree to these conditions, you must terminate use of our services immediately.
1. Eligibility & Contract Capacity
To use our services, you must be at least 18 years of age and legally competent to enter into a binding contract under the Indian Contract Act, 1872. By utilizing the platform, you represent and warrant that you hold the legal authority to bind yourself or the business entity you represent to these Terms.
2. Account Registration & Protection
- Accuracy of Information: You agree to provide exact, current, and complete business and contact details during the sign-up process.
- Credential Security: You are solely responsible for securing your account credentials (including OTP tokens and active desktop login keys). Any activity conducted through your active sessions is assumed to be authorized by you.
- Unauthorized Access: You must notify us immediately at admin@printinfra.com if you discover a security breach or unauthorized database access.
3. Subscriptions, Invoicing, & Payments
- Billing Model: Access to PrintInfra, Hivance, and School ERP features is provided on a recurring subscription basis. Fees are billed in advance for the selected period (monthly or annually) as indicated on our pricing schedules.
- Secured Transactions: All financial payments are processed via verified, Reserve Bank of India (RBI) authorized payment gateway aggregators. Printinfra Labs does not record or store card numbers or net-banking codes.
- Taxation: Prices are exclusive of Goods and Services Tax (GST) at 18%, which will be added at checkout as mandated by Indian fiscal regulations.
- Non-Payment & Suspension: If automated recurring billing attempts fail, we reserve the right to temporarily freeze account access until payment is resolved.
4. Trial Periods & Refund Policies
- Hivance & School ERP Trials: New Hivance users receive a 21-day complimentary trial. School ERP trials are custom-tailored per educational institution. No payment cards are required. If a paid plan is not selected at trial conclusion, features will lock.
- PrintInfra Demos: PrintInfra provides specialized demo watcher accounts. Permanent deployment is subject to setup fees.
- Cancellation & Refunds: You may cancel subscription renewals at any time via your billing dashboard. Refunds for active periods are governed by our standard Cancellation Policy.
5. WhatsApp Business API Usage & Acceptable Use
Our platforms integrate with the WhatsApp Business API (WABA) to transmit alerts, document details, and booking confirmations. You agree to comply with the following regulations:
- Meta Policies: You must strictly follow Meta’s WhatsApp Business Terms of Service and Developer Policies.
- Prohibition of Spam: You may not use Printinfra Labs services to transmit spam, unsolicited commercial flyers, or bulk promotional outreach in violation of TRAI regulations or Meta policies.
- Strictly Prohibited Content: You will not upload, print, or distribute any content that is illegal, defamatory, obscene, or infringes third-party patents, copyrights, or trade secrets.
- Reverse Engineering: You agree not to attempt to decompile, harvest source files, or bypass API constraints built into the desktop watcher agent or backend web apps.
6. Intellectual Property Rights
The layout, custom designs, logos, software engines, desktop watchers, database schemas, and all assets within PrintInfra and Hivance represent proprietary property owned by Shantanu Awate (operating under Printinfra Labs). These assets are protected under the Copyright Act, 1957, the Trade Marks Act, 1999, and international treaties. You are granted a revocable, non-exclusive, non-transferable license to use the platforms for operational business needs during your active subscription period.
7. User Content & Document Ownership
- Data Rights: You retain full ownership and intellectual copyright of any data records, client bookings, and files (e.g., PDFs sent for printing) processed through our systems.
- Operational Permission: You grant Printinfra Labs a worldwide, royalty-free license to store, process, and display your data solely to execute the features you request (e.g., transmitting reminders or queuing print runs).
- Liability: You are responsible for ensuring your customer data is collected and processed in compliance with the DPDPA 2023.
8. Service Levels & Limitations of Liability
- Availability: We aim for a 99.9% network runtime. However, we do not warrant that service operations will be uninterrupted or free of errors.
- Third-Party Dependencies: Our platforms rely on third-party services (Meta's WhatsApp API, cloud servers, payment gateways). We are not liable for outages caused by these providers.
- Limitation of Liability: To the maximum extent permitted by Indian law, Printinfra Labs' liability for any claim is capped at the total amount paid by you in subscription fees in the three (3) months preceding the incident. We are not liable for loss of profits, revenues, or business opportunities.
9. Indemnification
You agree to indemnify and hold harmless Shantanu Awate, Printinfra Labs, and our representatives from any claims, losses, legal fees, or liabilities arising from your violation of these Terms, misuse of our APIs, or breach of Meta's WhatsApp Policies.
10. Dispute Resolution & Governing Law
- Governing Law: These Terms shall be interpreted and governed in accordance with the laws of India.
- Negotiation & Arbitration: Any dispute shall first be addressed in good faith through consultation. If unresolved within 30 days, the dispute shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996. The arbitration will take place in Pune, Maharashtra, India.
- Jurisdiction: The courts located in Pune, Maharashtra, India, hold exclusive jurisdiction over any matters not covered by arbitration.
11. Modifications to Terms
We reserves the right to modify these Terms at any time. If modifications are material, we will provide a 15-day notice via our website or email before the updates become effective. Your continued use of our services after this period represents acceptance of the revised Terms.
